Creator Payout Agreement

1. What this is
This Creator Payout Agreement ("Agreement") explains how Dream may share certain subscription revenue with eligible creators. It is between you and Traders Grit LLC ("Dream," "we," "us"), the company behind the Dream brand.
By joining the creator payout program (when Dream opens it), or by accepting payouts, you agree to this Agreement. If you do not agree, do not join and do not accept payouts.
This Agreement works together with Dream's Terms of Use, Privacy Policy, community guidelines, and the Marketplace Disclosures. If there is a conflict about payouts, this Agreement controls for payouts.
2. Who can join
- You must have an active Dream+ subscription to earn new Creator Rewards when a month closes / to enroll in paid Creator Rewards. An already finalized balance may be withdrawn later without keeping Plus active (when cash is on). You must also be at least 18 years old. (Watching and posting on Dream may remain 13+ under the Terms of Use; cash eligibility is separate.)
- The program is U.S.-only at launch. Dream may limit, pause, or refuse participation outside the United States or where law requires.
- You must complete identity and tax setup through Stripe Connect Express (or a successor Dream chooses). That usually includes KYC and tax forms such as W-9 or W-8.
- You must follow Dream's Terms, guidelines, and this Agreement.
- Dream may approve, deny, suspend, or remove creators from the program at its discretion when the program is live.
3. Independent contractor — not employment
You are an independent contractor, not an employee, partner, joint venturer, or agent of Traders Grit LLC.
- You get no employment benefits (no wages as an employee, no unemployment insurance from Dream, no employee health plan from Dream).
- You are responsible for your own taxes, withholdings, estimated payments, and records.
- If the law requires it, Dream or Stripe (or both) may issue a Form 1099 or other required tax reporting through the Stripe/Dream process. Dream does not store your Social Security number in the Dream app database when Stripe hosts KYC.
- Nothing here creates employment, franchise, or agency rights.
4. The revenue pool
4.1 What goes in
When creator cash is on, Dream intends to fund a shared creator pool with:
50% of eligible net Dream+ subscription revenue (product lock: AINE_POOL_RATE 0.50).
"Eligible net" means Dream+ subscription money Dream actually keeps after:
- Apple App Store and Google Play fees (and similar store fees),
- applicable refunds and chargebacks, and
- applicable taxes Dream must account for on that revenue.
Only revenue Dream designates as eligible Dream+ subscription revenue counts. Ads, tips, one-off sales, or other product lines are not in the pool unless Dream later says so in the live program rules.
4.2 What never goes in
The founder's $50 per month personal cushion is never part of the pool and is never part of earnings claims. That amount stays with Traders Grit LLC / the founder.
4.3 Pool can be zero
There is no earnings guarantee. In any period the pool can be $0 (for example: no Dream+ net, high refunds, fees, or low subscriptions). Past estimates or leaderboards do not promise future pay.
5. How shares are calculated
When the program is open, Dream allocates the pool using eligible playback / engagement rules the product defines (qualified views and similar metrics Dream publishes).
- Estimates in the app are informational only.
- Estimates are not withdrawable until a closed pool period accrues unpaid balance (program payable for setup does not invent cash).
- Dream may change the allocation methodology prospectively (going forward) with notice — for example by updating this page, linking it from Terms, or in-product notice when practical.
- Dream may correct estimates for errors, fraud, chargebacks, policy issues, or data fixes.
6. Payable gate: setup open; withdrawals need accrued balance
Creator Rewards setup is open (Connect onboarding and the Withdraw control can be enabled). That does not invent cash.
- Estimates become withdrawable only after closed pool periods create an accrued balance, and your payout account is ready.
- Until you have unpaid accrued balance from closed months, Withdraw will not move money — even when the program is payable for setup.
- Turning payable on is not a permanent promise. Dream may later pause, change, or end the program as described below.
7. Minimum payout and timing
- When the program opens, the historical minimum payout is $1. Dream may set a higher floor.
- Payouts run through Stripe Connect Express (or successor). Timing depends on Stripe, banking rails, and Dream's payout schedule.
- Dream is not responsible for delays from incomplete KYC, bank issues, Stripe holds or outages, or wrong account details you provide.
8. How money moves
- Users pay for Dream+ through the app stores (or other channels Dream supports).
- After store fees, refunds, chargebacks, and applicable taxes, Dream determines eligible net revenue and the pool.
- Dream calculates your share (if any) under the live rules.
- When payable and above the minimum, Dream instructs Stripe to pay your connected account.
- Stripe pays you under Stripe's terms and your connected-account agreement.
Dream is a platform / marketplace facilitator. Dream is not a bank, not a money transmitter for your personal deposits in the banking sense, and not a fiduciary for creator funds beyond running the stated program and arranging Stripe payouts as described.
9. Stripe is a third party
Stripe (or a successor) is an independent third party. Dream is not liable for Stripe outages, Stripe account holds, Stripe policy decisions, bank delays, or Stripe's own service failures. Your relationship with Stripe is also governed by Stripe's terms.
10. Changes, suspend, clawback
The payout program is discretionary. Dream may, with prospective effect and with notice when practical:
- change pool rates (prospectively), metrics, minimums, schedules, or eligibility;
- suspend or end the payout program or your participation;
- withhold, reverse, or claw back amounts for fraud, intellectual-property theft or infringement, policy violations, chargebacks, refunds, self-dealing, botting, or clear calculation errors.
Clawbacks may reduce future payouts or require return of amounts already paid when allowed by law and Stripe's tools.
11. Prohibited conduct
You must not:
- scrape Dream or manipulate rankings;
- generate fake views, bot traffic, or fake engagement;
- run self-dealing rings or collusive watch schemes;
- upload stolen intellectual property;
- use a real person's voice or likeness (including deepfakes) without consent;
- imply Dream guarantees income.
Violations can lead to suspension, forfeiture of accruals, clawback, and account termination under the Terms.
12. Your content warranties
You represent and warrant that:
- you own or have all rights needed for content you publish;
- your content does not infringe others' IP, privacy, or publicity rights;
- you will not submit prohibited content listed above;
- information you give Stripe and Dream for payouts is accurate.
13. Your other responsibilities
- Keep your Stripe Connect profile and tax info accurate and up to date.
- Comply with app-store and advertising rules when you promote Dream.
- Follow Dream's Terms and guidelines.
14. Indemnity
You agree to defend and indemnify Traders Grit LLC and its officers, members, and agents against claims, losses, and reasonable costs (including attorneys' fees) arising from your breach of this Agreement, your content, your tax obligations, or your misuse of the payout program — to the extent allowed by law.
15. No guarantee; as-is; limitation of liability
The payout program is provided as is. Dream does not guarantee any payout amount. To the fullest extent allowed by law, Dream's total liability under this Agreement for any claim related to payouts is limited to the amount of payouts actually owed to you for the period in dispute under the then-current rules (and not yet paid), or $50 if none are owed — whichever is greater. Dream is not liable for indirect, incidental, special, or consequential damages (including lost profits, lost data, or business interruption) arising from the payout program.
Some places do not allow these limits; in those places, Dream's liability is limited to the maximum the law allows.
16. Governing law and venue
This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law rules.
Exclusive venue for disputes under this Agreement is the state or federal courts located in Delaware. You and Dream consent to personal jurisdiction there.
17. Other terms
- Dream may update this Agreement. Material changes apply going forward after Dream posts the update (and, when cash is live, links it from Terms or notifies creators in-product or by email when practical).
- If a court finds one part unenforceable, the rest stays in force (severability).
- This Agreement, together with the Terms of Use, Privacy Policy, Marketplace Disclosures, and community guidelines, is the entire agreement about creator payouts. It replaces earlier informal statements about payouts.
